Restructuring Advisor Pawel Choina license number 935 acting as the trustee of the bankruptcy estate Ursus Dystrybucja sp. z o.o. in bankruptcy based on the decision of the District Court Lublin-East in Lublin based in Swidnik IX Economic Department for Bankruptcy and Restructuring on May 11, 2022, in case LU1S/GU/41/2021.

Subject of sale

The subject of sale is a property located in Mircze, Lublin Voivodeship, Hrubieszow County, Mircze Commune, consisting of plots with registration numbers 640/3, 640/13, and 640/14 located at Gorna Street 6 with a total area of 14,798.00 m2, for which the District Court in Zamosc maintains land and mortgage registers no. KW ZA1H/00073125/5 and ZA1H/00073553/4.

The sale in bankruptcy proceedings is an enforcement sale. Thus, the buyer is not liable for the obligations of the bankrupt.

During the bankruptcy proceedings, soil tests were conducted on the property. Their results and an unprofessional analysis are attached to the sales offer.

Site visits will take place after arranging by phone with the trustee's office at 603 327 052.

Deposit

Participation in the auction requires a deposit of 10,500.00 PLN (ten thousand five hundred PLN 00/100) to be paid to the bank account of the bankruptcy estate Ursus Dystrybucja sp. z o.o. based in Lublin at 54 1090 1014 0000 0001 2106 1169, which must be paid by September 26, 2025. The date of acknowledgment of funds in the bankruptcy estate account counts.

How to submit offers

Offers in writing should be submitted to the trustee's office:

  • in person to the trustee or
  • by mail to the trustee's office address or
  • by email signed electronically with a qualified signature. The offer must include proof of deposit payment.

Deadline for submitting offers

Offers must be submitted by September 26, 2025 – the date of receipt of the offer or its notification by Poczta Polska S.A. is decisive.

Opening of offers

The non-public opening of offers will take place at the trustee's office on September 30, 2025. If more than one offer meeting the formal conditions is received, the trustee may order a telephone auction. Bidders will be notified by phone about the date and form of the auction.

Full terms of sale

TERMS OF SALE BY PRIVATE TREATY OF PROPERTY IN MIRCZE

The trustee of the bankruptcy estate Ursus Dystrybucja sp. z o.o. in bankruptcy based in Lublin:

  • Announces a written offer competition for the sale of properties included in the bankruptcy estate of Ursus Dystrybucja sp. z o.o. in bankruptcy, based on the description and market value assessment prepared by appraiser Danuta Jaroc (license no. 3593).
  • The subject of sale is a property located in Mircze, Lublin Voivodeship, Hrubieszow County, Mircze Commune, consisting of plots with registration numbers 640/3, 640/13, and 640/14 located at Gorna Street 6 with a total area of 14,798.00 m2, for which the District Court in Zamosc maintains land and mortgage registers no. KW ZA1H/00073125/5 and ZA1H/00073553/4.
  • The sale of the property occurs based on the consent of the judge-commissioner for the sale by private treaty;
  • The starting price for the property indicated in point 2 is set at 104,332.35 PLN (one hundred four thousand three hundred thirty-two 35/100) PLN net. The sale price will be increased by value-added tax (VAT) if it is due or by tax on civil law transactions;
  • Interested parties should submit offers by the deadline of September 26, 2025, in person at the trustee's office at ul. Struga 19, 21-040, Swidnik or send them to the address of the office by registered mail (the date of receipt at the office or notification of the shipment by Poczta Polska is decisive), submission of an offer in electronic form with a qualified signature by email is allowed;
  • The offer must include the proposed price (exact amount) equal to at least the starting price, identification of the offeror and a contact phone number, and indication of the property to which the offer pertains. The offer and all documents should be submitted in original or notarized copies;
  • In the case of a business entity, the offeror must attach a current excerpt from the KRS or the register of business entities;
  • The offer must include contact details of the person authorized to submit the offer;
  • Submission of an offer by the Offeror is equivalent to a declaration that:
  • they are aware of the legal and factual situation of the sold enterprise and do not raise any objections in this regard,
  • they agree to exclude liability for physical and legal defects under Article 558 § 1 of the Civil Code,
  • they know the terms of the auction and accept them,
  • they know the technical condition of the properties included in the sold enterprise
  • they know the content of the description and valuation of the property and do not raise any objections to it;
  • they agree to cover all fees and costs related to the conclusion of the purchase agreement;
  • they have all permits and consents if required by law due to the buyer's identity;
  • the person signing the offer is authorized to conclude the sale agreement for the offered price;
  • there are no grounds indicated in Article 157a paragraphs 2-3 of the PU;
  • The offeror must attach proof of deposit payment;
  • the offeror must pay the deposit to the bank account indicated by the trustee, i.e., the bankruptcy estate account no. 54 1090 1014 0000 0001 2106 1169 (Santander Bank Polska S.A.) in the amount of 10,500.00 PLN (ten thousand five hundred PLN 00/100);
  • the paid deposit will be forfeited to the bankruptcy estate in cases where:
  • the winning offeror does not pay the full amount in the manner and within the time specified in point 13,
  • does not conclude the sale agreement within the time specified in point 13.
  • the remaining offerors will have their deposits returned immediately after the trustee confirms the selection of the best offer, to the bank account indicated in the offers. No interest is due on the paid deposits;
  • The non-public opening of offers will take place on September 30, 2025, at the trustee's office, ul. Struga 19, 21-040, Swidnik;
  • The right to conduct further bidding in the form of oral bidding by telephone is reserved under the following rules:
  • the starting price will be the highest price proposed by the bidders allowed to participate in the auction,
  • the minimum bid increment is 5,000 PLN (five thousand PLN), with the trustee having the right to increase the minimum bid increment at their discretion at any stage
  • The offeror whose offer is selected is obliged to conclude a sale agreement in the form of a notarial deed within a maximum of three months from the date of selection of the offer, and the entire offered amount must be paid no later than two days before signing the sale agreement, with the date of receipt of funds in the account indicated by the trustee being decisive; The three-month period mentioned in this point may be extended with the trustee's consent. For credit purposes, a preliminary agreement may be concluded, in which case the full price must be paid before concluding the promised agreement.
  • Offsetting claims of the buyer against the bankrupt with the purchase price is not allowed;
  • The costs of concluding the sale agreement are borne by the buyer, including notary fees and court costs of all entries, including deletions from the land and mortgage registers are borne by the buyer;
  • The trustee reserves the right to choose the Notary;
  • The right to cancel the sale without giving reasons is reserved;
  • The buyer acquires the enterprise free of encumbrances and is not liable for the obligations of the bankrupt (Article 313 and 317 of the Act of February 28, 2003 – Bankruptcy Law (Journal of Laws of 2015, item 233 as amended));
  • In matters not regulated in the sales regulations, the provisions of the Civil Code and Bankruptcy Law apply
