The syndic of the bankruptcy estate invites written offers.

REGULATIONS of the competition for the sale of the assets of the bankrupt Teresa Klimanek in the bankruptcy proceedings conducted by the District Court in Opole under reference number: OP1O/GUp-s/115/2024

§ 1

1. The subject of the sale is a ½ share in the ownership rights of the property covered by the land register number: OP1K/000057078/2 as unbuilt land marked in the land registry number 779/26 a.m. 13 with an area of 0.0500 ha, serving as a residential plot,

2. The starting price has been set at 9,315 PLN (nine thousand three hundred fifteen zlotys).

3. There is an opportunity to review the valuation report for the property. The syndic will provide the valuation report at the office or in electronic form by sending it via email.

a. There is an opportunity to arrange a visit to the property on-site with the syndic or the bankrupt.

§ 2

1. The selection of the buyer will take place through a written offer competition.

2. The condition for participation in the auction is to submit an offer to purchase the above-mentioned subject of sale by August 22, 2025 and to pay a deposit of 1,000 PLN.

3. An offer submitted after the deadline specified in § 2 point 2 or without the deposit payment will remain unconsidered.

§ 3

1. The date of deposit payment is considered the date of crediting the syndic's bank account. An offer without the full deposit amount paid on time or with the deposit paid after the specified deadline will remain unconsidered.

2. The deposit should be paid to the deposit account: mBank number: 58 1140 2004 0000 3002 8482 9828. In the payment title, please provide the land register number of the property to which the deposit relates.

§ 4

1. The offer should include:

a. the bidder's data - name and surname, company, address of residence or registered office, current excerpt from the register of entrepreneurs, account number for potential deposit return, as well as email address and contact phone number,

b. the signature of the bidder or persons authorized to represent the bidder according to the excerpt from the register,

c. in case of having a NIP number and REGON or in the case of foreign entities, the number assigned by the relevant tax or statistical authority,

d. the offered price in zlotys for the selected subject of sale, payment method, and payment deadline,

e. permits and consents - if required by law due to the bidder's person, it is allowed to attach a promise in place of the permit if obtaining it is not possible or difficult,

f. a statement of having read the Competition Regulations and acceptance of its terms,

g. a statement from the bidder that they commit to pay the price for the subject of sale no later than the day before the designated day of concluding the sale agreement for the subject of sale,

h. a statement from the bidder that they commit to cover all costs related to the transfer of ownership of the subject of sale,

i. a statement confirming that the bidder is not a close person to the syndic and judge in this proceeding,

j. proof of deposit payment.

2. The offer and other documents should be prepared in Polish.

3. Authorization to sign offers and other documents should be attached to the offer unless it results from other documents attached by the bidder.

4. The offer should be submitted in a sealed envelope marked: "Auction for the purchase of property OP1O/GUp-s/115/2024".

§ 5

1. The opening and public consideration of offers will take place on August 29, 2025 at 1:00 PM at the syndic's office in Opole at ul. Plebiscytowa 3/18. A protocol will be drawn up from the opening and consideration of offers. The protocol lists the offers in the order of submission, as well as the persons present at the opening.

2. The selection of the most advantageous offer is made by the syndic.

3. The public may be present at the opening of offers.

4. In the case of receiving an offer containing a price lower than the starting price or which does not meet all the requirements specified in the Regulations, the offer will remain unconsidered.

§ 6

The criterion for evaluating an offer that meets all the requirements specified in the Regulations is the highest offered price.

§ 7

1. The winner of the auction is the bidder whose offer has been selected by the syndic.

2. The auction does not take effect if none of the bidders submits an offer that meets all the requirements specified in the auction regulations.

§ 8

1. The sale agreement for the subject of sale will be concluded no later than one month after the decision to approve the selection of the offer by the judge becomes final. The deadline begins no earlier than the moment of delivery of the copy of this decision.

3. The sale agreement for the subject of sale will be drawn up at the notary office indicated by the syndic.

4. The day of concluding the sale agreement for the subject of sale will be indicated by the syndic, who will inform the buyer in writing no later than 14 days before the day of concluding the agreement.

5. The payment of the purchase price for the subject of sale will take place in full no later than the day before the day of concluding the sale agreement (the date of crediting the syndic's bank account is decisive), without making any deductions, to the account indicated for the deposit payment.

6. All fees related to the acquisition of the auction subject are borne by the buyer.

§ 9

1. The deposit paid by the bidder whose offer was selected by the syndic is credited towards the purchase price of the subject of sale. The deposit is forfeited if the sale agreement for the subject of sale is not concluded due to the fault of the bidder within the time specified by the syndic.

2. The deposit paid by the bidder whose offer was not selected by the syndic is returned immediately after the day of consideration of the offers. The date of return of the deposit is considered the date of debiting the syndic's bank account.

3. Warranty for physical and legal defects of the subject of sale is excluded.

4. The syndic reserves the right to determine that the auction did not yield the expected result (does not take effect) at any stage of the proceedings without giving reasons.

§10

1. In the event that the difference between the two highest valid offers in the auction is less than 10% of the value of the highest offer, the syndic may order a second stage of the auction, at their discretion, in written or oral form.

2. The auction in the second stage is a closed auction, to which only all bidders who submitted valid offers in the first stage are invited. The deposits paid remain valid in the second stage of the auction.

3. The starting price in the second stage of the auction will be equal to the highest offer submitted in the first stage. The first offer is considered the highest offer of the first stage.

4. In justified circumstances, the syndic may negotiate with the bidder or bidders, also considering those whose offers did not meet formal requirements, in order to obtain the most advantageous price for the sold property.

5. A protocol will be drawn up from the course of the auction in the second stage or negotiations, containing a list of submitted offers, persons present at the opening of offers, and the syndic's decision on the selection of the offer, for submission to the supervising judge. The protocol may also include statements from persons present at the opening of offers.

6. In the case of conducting the auction in oral form, the protocol includes a statement from the persons participating in this form of auction about their consent to participate, as the starting price is entered as the highest price offered so far and proposed bids. The highest of the offered bids, after being called three times and no higher bid being offered, is binding for the syndic as the organizer and for the bidders participating. In such a situation, the syndic indicates the winner of the auction, whose offer receives the bid and will be submitted to the supervising judge for approval.

7. At the request of the winner of the second stage of the auction organized in oral form, a certificate of the bid awarded by the syndic is issued to them.
