ANNOUNCEMENT OF TENDER FOR THE SALE OF REAL ESTATE

TENDER NO. 3/PT/2025

• Seller and tender organizer: POLSKIE LINIE OCEANICZNE S.A. based in Gdynia, address: Al. Marszałka Piłsudskiego 1, 81-406 Gdynia (hereinafter also referred to as "Company" or "PLO S.A.").

• Type of tender: Unrestricted written tender.
• Subject of the written tender: Sale of the perpetual usufruct rights of plots numbered: 1504, 1505, 1506, 1507, 1508, 1509, 1521, and 1525 with a total area of 3,080 m², along with a separate ownership building of administrative-office type, two-storey, completely basement, with a volume of 3379 m³ and a building area of 489.2 m² located in Gdynia at ul. Śląska 49A (hereinafter referred to as the Property). For this Property, the District Court in Gdynia maintains a land and mortgage register no. GD1Y/00001115/4.
• Starting price net/gross: An amount not less than 7,499,000.00 PLN (in words: seven million four hundred ninety-nine thousand zlotys zero groszy), the sale is exempt from VAT.
• Deposit: in the amount of 749,900.00 PLN (in words: seven hundred forty-nine thousand nine hundred zlotys zero groszy), constituting 10% of the starting price. The deposit must be paid no later than 2 (two) days before the deadline for submitting offers in the tender, to the bank account of the Tender Organizer – POLSKIE LINIE OCEANICZNE S.A. based in Gdynia maintained by ING Bank Śląski S.A.

number 50 1050 1764 1000 0024 3053 0580 with the title "deposit for Tender No. 3/PT/2025". A condition for participation in the tender is the payment of the deposit.

Offers should be submitted in sealed and opaque envelopes, at the headquarters of POLSKIE LINIE OCEANICZNE S.A. in Gdynia at Al. Marszałka Piłsudskiego 1, room 108 (Secretariat) with the note "offer for Tender 3/PT/2025" – the envelope must include the bidder's details. Bidders should submit their offer by the deadline: by 12.09.2025 at 15:00.

The date of receipt of the complete offer at the Company's headquarters is decisive. Offers received after the deadline of 12.09.2025 after 15:00 at the Company's headquarters will not be considered.

• The written offer should include:

- date of offer preparation,

- name, surname, and address of residence or name (company) and registered office of the bidder and contact details: phone and email,

- offered price and method of financing, in special cases a financing promise or other document confirming the availability of the appropriate level of financial resources,

- current excerpt from the National Court Register of the bidder or CEIDG,

- confirmation of deposit payment and indication of the method of its return (indicating the bank account number to which the transfer should be made),

- statement that the Bidder has read the Detailed Regulations of the tender for the sale of the Property and the announcement of the Tender, has understood their content and accepts the conditions specified therein without reservations and undertakes to comply with them,

- statement that the Bidder has familiarized themselves with the factual and legal status of the Property and does not raise any objections to it,

- in cases where applicable – consents of third parties and resolutions of the corporate bodies of the Bidder for the Bidder's participation in the Tender and conclusion of the sale agreement, required under the provisions of law and judgments of courts and public administration bodies, founding acts of the Bidder or other corporate acts of the Bidder and a statement that besides the submitted, no other consents of third parties and resolutions are required,

- in situations where the cases indicated above do not apply – a statement that no consents of third parties or resolutions of any entities or bodies for the Bidder's participation in the Tender and conclusion of the sale agreement are required,

- certificates from ZUS and the Tax Office confirming no arrears with respect to the above institutions, issued no earlier than 3 months before the deadline for submitting offers.

- all documents must be submitted in originals or copies certified as true copies by a Notary,

- legible signature of the Bidder or persons representing them, along with any power of attorney,

- the offer should be prepared in Polish.

9. The tender will take place on 19.09.2025 at 10:00 at the headquarters of the

Tender Organizer – POLSKIE LINIE OCEANICZNE S.A.

based in Gdynia (81 - 406) at the address: Al. Marszałka Piłsudskiego 1.

• The Tender Organizer informs that a condition for concluding and signing the sale agreement for the Property will be obtaining all appropriate corporate approvals by the Company. The Tender Organizer informs about the obligation to submit a statement that in the event of closing the tender or auction and selecting the offer of a given bidder, and then not expressing the approvals referred to above, the Bidder will not raise any claims against the Company related to the non-conclusion of the sale agreement.
• The Tender Organizer, during the proceedings, at any stage, is entitled to change the announcement and the conditions of the tender, cancel the proceedings and close it without selecting any offers, without giving reasons.
