ABOUT THE FIRST UNLIMITED ORAL AUCTION

based on: art. 54 of the Act of April 30, 2010 on the Polish Academy of Sciences
(Dz.U. of 2020, item 1796)
informs,
that on the website of the Institute of Animal Genetics and Biotechnology PAN in Jastrzebiec at the address, on the website, and on the notice board at the Institute's headquarters in Jastrzebiec, ul. Postępu 36A, 05-552 Magdalenka, Building D, first floor, an announcement has been made public about the first unlimited oral auction for the sale of real estate for which the District Court in Pruszkow, VI Land Registry Department maintains land register no. WA1P/00118930/5, marked in the land registry as plot number 77/3 with an area of 11.7116 ha, from precinct 0014, Szamoty, Nadarzyn municipality, Pruszkow district, Mazowieckie voivodeship. The plot is owned by the State Treasury - Pruszkow Starost and the perpetual usufructuary is the Institute of Animal Genetics and Biotechnology of the Polish Academy of Sciences. Sections III and IV of the above-mentioned land register do not contain entries.
In section I-O of the subject land register, a note no. DZ. KW./WA1P/16894/25/1 regarding the correction of the designation/area of the property in connection with the conducted division of the property has been disclosed.
The property includes land with an area of 11.7116 ha, including:
PURPOSE IN THE LOCAL PLAN
According to the applicable Local Spatial Development Plan for the villages of Walendow and Szamoty in the Nadarzyn municipality, approved by resolution no. XXXVIII/649/2005 of the Nadarzyn Municipal Council on June 22, 2005, the area where the subject property is located is covered by the provisions of the plan.
Plot no. 77/3 located in the village of Szamoty is situated in the area of service and production development with multifunctional purpose, symbol UP, in the drained area.
The above is confirmed by the issued excerpt and drawing from the local spatial development plan dated June 11, 2025, the validity of the records of which has been confirmed by a property appraiser at the time of preparing the valuation report.
The basic purpose of the plot is service and industrial development with multifunctional purpose. The plan defines service and production facilities as headquarters of companies conducting business activities in the field of; production and processing of industrial and craft products, construction, retail and exhibition trade, wholesale trade, hotels and restaurants, transport, warehousing, postal and telecommunications, administration, financial intermediation, technical service and repair of motor vehicles, sale of fuels for vehicles, and broadly understood services for other business entities and the population, as well as plants and bases where this activity is conducted.
The supplementary purpose includes facilities and devices necessary for technological, social, fire protection, communication, technical infrastructure, and environmental protection needs for the plot or local needs, hotel and social premises, without separating a separate plot.
The permissible purpose includes telecommunication masts on plots over 4.0 ha.
In the area of service and production development, the establishment of new residential development, health protection functions, medical services, and facilities related to the permanent or long-term presence of children and youth is prohibited, the location of temporary facilities except for those necessary during construction, the location of agricultural homesteads, and trade facilities with a sales area greater than 1000 m2 is prohibited.
The subject plan establishes the following development rules for service and production areas:
- existing buildings may be subject to replacement, expansion, reconstruction, superstructure, and change of use provided that established functions are maintained
- on each building plot with service-production development, at least 20% of biologically active surface must be green space as well as water surfaces
- the appearance, technical standard, and functionality of the volumetric development must be subordinated to the following assessment criteria: a) the form of new buildings should be shaped in reference to contemporary architecture, without restrictions on construction materials using natural finishing materials b) sloped roofs are recommended c) basements of buildings on plots with a high groundwater level are excluded d) development is recommended to be carried out according to a uniform common concept (harmonized heights, architectural forms, color of coverings and facades, and small architecture) for development complexes constituting one investment;
- advertisements and other informational and artistic signs should be located in the boundary lines of roads
- the height of the development is established: a) building height up to 12 m for plots of 0.3 ha and larger b) building height up to 20 m for plots over 4.0 ha c) height of lighting and telecommunication masts up to 35 m on plots over 4.0 ha d) on plots adjacent to planned and existing residential development, from the common boundary side, the height of service and production development is established up to 12 m
- the establishment of parking spaces on the own investment areas in quantities resulting from the following minimum indicators considering rotation is established: a) service-production functions - 30 parking spaces per 1000 m2 of usable area; b) wholesale, material storage with retail sale - 20 parking spaces for passenger cars per 1000 m2 of usable area; c) wholesale, warehouse, material storage without retail sale - 5 parking spaces per 1000 m2 of usable area; d) commercial facility, shop, service point - 30 parking spaces per 1000 m2 of usable area, but not less than 3 - 4 places for the shop
- direct communication service for UP areas is established from the side of planned and existing roads: collector KUZ, local KUL, access KUD, and internal roads through the own plot
- special conditions for connections of collector roads KUZ and local roads KUL with surrounding UP areas are established, which means limiting the number of new accesses, as well as prohibiting the creation of intersections and connections not designated on the plan drawing without agreement with the road manager
- the establishment of internal roads providing access to plots with service and production development with widths in boundary lines not less than 10 meters is established
- for each investment in the UP area, an appropriate number of parking spaces for employees and users must be ensured
- the location of parking spaces along the collector road KUZ is excluded
STARTING PRICE
Starting price: 35,000,000.00 PLN
(in words: thirty-five million zlotys)
The amount of the deposit: 2,000,000.00 PLN
(in words: two million zlotys)
Minimum bid increment: 350,000.00 PLN
(in words: three hundred fifty thousand zlotys)
Where at least one bid is required.
The price obtained in the auction will be increased by VAT at the rate applicable on the day of sale of the property. As of the date of the auction announcement, the sale is subject to goods and services tax at the rate of 23%.
CONDITIONS FOR PARTICIPATION IN THE AUCTION
• The condition for participation in the auction is to pay a deposit in cash in the amount specified in the announcement, to the account of the Institute of Animal Genetics and Biotechnology of the Polish Academy of Sciences no. 91 1130 1017 0020 1469 8820 0005 by November 20, 2025. In the title of the transfer, the date and subject of the auction must be indicated, i.e. - "27/11/2025 - first auction for the sale of property Szamoty plot 77/3". The date of receipt will be considered the day the deposit is credited to the IGBZ PAN account.
The deposit paid by the person who wins the auction will be credited towards the purchase price of the property. The deposit is returned immediately (but no later than within 3 days) after the closing, cancellation, invalidation, or negative result of the auction. Cancellation of the auction, its invalidation, or closure does not provide grounds for charging interest on the deposited deposit.
• Before participating in the auction, the bidder is obliged to familiarize themselves with the content of: The Regulations for conducting auctions and negotiations for the sale, lease, and rental of real estate of the Institute of Animal Genetics and Biotechnology PAN, Auction Information.
• Before participating in the auction, the bidder is obliged to submit to the Auction Committee a signed Participation Application Form in the auction including the statements contained therein and other documents indicated in the Regulations for conducting auctions and negotiations for the sale, lease, and rental of real estate of the Institute of Animal Genetics and Biotechnology PAN.
• Before participating in the auction, the bidder is obliged to submit to the Auction Committee proof of deposit payment, proof of identity, current excerpt from the National Court Register in the case of a legal entity, if necessary, appropriate powers of attorney. If one of the spouses participates in the auction, a written consent of the spouse is required, stating that they agree to the acquisition of the property being auctioned.

DATE AND PLACE OF THE AUCTION
The auction will take place on November 27, 2025, at the headquarters of the Institute of Animal Genetics and Biotechnology of the Polish Academy of Sciences, Jastrzebiec, ul. Postępu 36A, 05-552 Jastrzebiec, Building C, at 11:00 AM.
CONCLUSION OF THE CONTRACT
Before concluding the sale agreement, it will be necessary to obtain the consent of the President and the Bureau of the Polish Academy of Sciences, in accordance with art. 54 sec. 3 of the Act on the Polish Academy of Sciences and the consent of the relevant authority, in accordance with art. 38 of the Act on the principles of managing state property.
Before concluding the sale agreement, it will be necessary to obtain the consent of the Pruszkow Starost for detaching the plot from the land register.
The National Real Estate Resource has the right of first refusal for the subject property. This means that a conditional sale agreement will be concluded with the person designated as the buyer of the property.
The buyer is obliged to pay 100% of the property price increased by the applicable VAT, reduced by the paid deposit, in one payment no later than 3 days before the conclusion of the conditional sale agreement in the form of a notarial deed.
The costs of concluding agreements are borne by the buyer.
The date of payment is considered the date of crediting the account of the Institute of Animal Genetics and Biotechnology PAN.
If the person designated as the buyer of the property evades concluding the agreement, the validity of which depends on meeting specific requirements provided for in the Act, the Director of the Institute of Animal Genetics and Biotechnology PAN may retain the amount collected or seek satisfaction from the subject of the security.
The person designated as the buyer of the property is obliged to submit all documents that will be deemed necessary by the notary conducting the activities to prepare the sale agreement in the form of a notarial deed.
Failure to provide the above documents or failure to pay the amount by the specified date is equivalent to not participating without justification in concluding the agreement at the place and time specified in the notification and may result in the Director of the Institute of Animal Genetics and Biotechnology PAN withdrawing from concluding the agreement, and the deposited deposit is non-refundable.
ADDITIONAL INFORMATION
The property is sold based on data from the land and building registry maintained by the Starost, and the buyer will not make any claims against the Institute due to any discrepancies regarding the type of use and any difference in the area of the sold property, if after the sale the surveyor shows a different area or type of use than is indicated in the geodetic documents.
The indication of property boundaries on the ground can be made by the Institute of Animal Genetics and Biotechnology PAN at the buyer's expense.
The auction is valid regardless of the number of participants if at least one participant has offered at least one bid above the starting price.
The Director of the Institute of Animal Genetics and Biotechnology PAN has the right to cancel the announced auction, close the auction, or invalidate it without giving a reason.
